New York requires every LLC, whether domestic or foreign, to designate a registered agent. The state calls this a "registered agent for service of process." If you skip it, the Secretary of State becomes your default agent, which means lawsuit papers get mailed to whatever address the state has on file. That is not a system you want to rely on.
New York is one of the only states that requires LLCs to publish a notice of formation (or foreign qualification) in two local newspapers for six consecutive weeks. This is not optional. The cost depends on which county your LLC is registered in. Manhattan and Brooklyn newspapers charge $1,000+. Albany County newspapers run closer to $200.
If you do not publish within 120 days, the state can suspend your LLC's authority to do business. This catches a lot of out-of-state founders off guard.
You need one if you are forming an LLC in New York or if you formed in another state and have physical presence in New York: an office, employees, or regular business transactions. New York interprets "doing business" broadly. Even recurring revenue from NY clients can trigger the requirement.
