Note: Hawaii charges $25 to file Form X-7 (Statement of Change of Registered Agent by Entity), plus a $1 State Archive Fee ($26 total). File online through Hawaii Business Express at hbe.ehawaii.gov, or by mail, fax, email, or walk-in at 335 Merchant Street, Room 201, Honolulu HI 96813. Form X-7 is a universal form used by all entity types - you select the entity type at the top. You can also update the registered agent during your annual report filing (annual report fee is $15). Hawaii administers business registration through the Department of Commerce and Consumer Affairs (DCCA), not a Secretary of State.

How to change your registered agent in Hawaii

Choose your new registered agent first.
Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Hawaii SOS can administratively dissolve your LLC.

You can file this online through the Hawaii Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.

Pay the $25 filing fee.
Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the Hawaii Secretary of State.

Notify your old agent.
Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.

Verify the change in state records.
Search your LLC name on the Hawaii SOS business search and confirm the new registered agent is listed. Processing typically takes 5 business days standard; 1-3 business days for $25 expedite, so check back after that window.
Important to know about Hawaii
- Hawaii adds a $1 State Archive Fee to every filing, bringing the effective cost to $26.
- Hawaii does not have a Secretary of State - business filings go through the DCCA Business Registration Division (BREG).
- Hawaii LLCs have a quarterly anniversary-based annual report deadline (not a fixed date). Annual report fee is $15. The registered agent can be updated at no extra cost when filing the annual report.
- The official form (X-7) is universal - it covers all entity types (LLC, corporation, LP, etc.). Make sure to check the correct entity type at the top.
