Note: Tennessee charges $20 to change the registered agent, regardless of filing method. File Form SS-4225 (LLC-specific) or SS-4534 (universal) online through the TNBear portal, by mail to 312 Rosa L. Parks Avenue, 6th Floor, Nashville TN 37243, or in person. Online filings carry an additional convenience fee: $8.25 for LLCs, $2.25 for corporations - bringing the LLC online total to $28.25. Tennessee does not offer expedited processing. How to change your registered agent in Tennessee

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Tennessee SOS can administratively dissolve your LLC.
  2. Get the Change of Registered Agent/Office (Form SS-4534 generic, or SS-4225 for LLCs). Download the form ↗ You can file this online through the Tennessee Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.
  3. Pay the $20 filing fee. Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the Tennessee Secretary of State.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.
  5. Verify the change in state records. Search your LLC name on the Tennessee SOS business search and confirm the new registered agent is listed. Processing typically takes 3-5 business days for mail; same-day for in-person; same-day for online, so check back after that window.

  • Online filing has a hefty convenience fee - $8.25 extra for LLCs, bringing the total to $28.25 vs. $20 by mail. The state actively pushes mail filings as the cheapest option.
  • Tennessee does not offer expedited processing - mail takes 3-5 business days, in-person is same-day.
  • You can also change the agent during your annual report filing, but the $20 agent change fee still applies on top of the annual report fee.
  • Two forms exist: SS-4225 is LLC-specific; SS-4534 is the universal Statement of Change. Either works for LLCs.
