How to order it

  1. Clear any past-due filings first. The Connecticut SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the Connecticut portal, request the certificate, and download it. Link in the table above.
  3. Pay the $50 fee. Pay by card at checkout. A small card surcharge usually applies.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

Connecticut calls its Certificate of Good Standing a Certificate of Legal Existence. Order online through Business.CT.gov for $50 (LLCs) with immediate PDF download. The online system replaced the old CONCORD portal which was retired in June 2021 - existing CONCORD logins no longer work and a new Business.CT.gov account is required. The Annual Report ($80 for LLCs, filed January 1 through March 31) must be current. Missing the window knocks the LLC out of good standing and prevents certificate issuance. If delinquent beyond one year, Connecticut may start administrative dissolution.

Important to know about Connecticut

  • CONCORD (Connecticuts old online filing system) was retired in June 2021. All filings now go through Business.CT.gov. If older guides reference CONCORD, the URL has changed - existing CONCORD logins are invalid.
  • Connecticut LLC annual reports are due January 1 through March 31 each year (NOT on the formation anniversary). Missing this window knocks the LLC out of good standing immediately. The fee is $80.
  • Connecticut requires foreign qualification filings to include a Certificate of Legal Existence from the home state dated within 90 days - a shorter window than most states. Plan accordingly.
  • Expedited service is only available for online orders (immediate download). Paper/mail certificates cannot be expedited.
