How to order it

  1. Clear any past-due filings first. The Missouri SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the Missouri portal, request the certificate, and download it. Link in the table above.
  3. Pay the $10 fee. Pay by card at checkout. A small card surcharge usually applies.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

Missouri issues the Certificate of Good Standing for $10 regardless of online or mail delivery. Order online through the SOS Online Business Filing System (RegSys Missouri), or by mail, email, fax, phone, or in person. Mail filings add $0.50 per page. A separate Certificate of Fact is $25; a Tax Clearance Certificate is free from the Department of Revenue.

Important to know about Missouri

  • Missouri LLCs do NOT file annual reports at all (unlike Missouri corporations, which do). Good standing depends on maintaining a registered agent and not being administratively cancelled. This is unusual enough that foreign-qualification checklists sometimes incorrectly assume an annual report exists.
  • The online system charges a $5 electronic payment convenience fee on top of the $10 certificate fee. Total online cost: $15. Mail filings can pay by check and avoid the convenience fee.
  • Missouri LLC formation fees ARE different by filing method ($50 online / $105 mail), but the Certificate of Good Standing fee is $10 across all methods. Do not confuse formation pricing with certificate pricing.
