How to order it

  1. Clear any past-due filings first. The Nebraska SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the Nebraska portal, request the certificate, and download it. Link in the table above.
  3. Pay the $6 fee. Pay by card at checkout. A small card surcharge usually applies.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

Important to know about Nebraska

  • The Nebraska LLC Biennial Report ($10, due between January 1 and April 1 of odd years) must be current. Corporations file a Biennial Occupation Tax Report ($26 minimum). Missing these is the most common cause of bad standing.
  • Nebraska requires NEW LLCs to meet a publication requirement in an approved newspaper in 3 consecutive weeks, plus file proof with the SOS ($25 online / $30 mail). An LLC that has not published is in registration limbo and will not qualify for a Certificate of Good Standing.
  • The electronic version is cheaper and faster but some foreign states require the $10 physical paper copy with raised seal. Verify requirements before ordering.
