How to order it

  1. Clear any past-due filings first. The Wyoming SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the Wyoming portal, request the certificate, and download it. Link in the table above.
  3. No state fee to pay. The standard certificate is free. A signed paper copy or expedited handling may add a small fee.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

Wyoming is one of the only states that provides a Certificate of Good Standing FREE through the Secretary of State website. An electronic certificate with a validation number is available instantly at wyobiz.wyo.gov/Business/ViewCertificate.aspx. No account is required. The electronic certificate bears the state seal, is electronically signed, and can be validated on the SOS website by certificate ID. If a manually signed "original" paper certificate is required, the cost is $10 via the Certified Copy/Certificate Request form (processing ~1 week by mail). Wyoming LLCs must be current on the Annual Report License Tax (minimum $60, due first day of anniversary month) for a certificate to issue.

Processing and expedited tiers: Instant electronic download (free); 1 week and $10 for manually signed paper certificate via mail

Important to know about Wyoming

  • The electronic version is FREE and available instantly - a major differentiator. Most receiving parties accept the electronic PDF with validation number. Only order the $10 paper version if specifically required.
  • Wyoming Annual Report License Tax is the greater of $60 OR $0.0002 per dollar of assets located in Wyoming. For most out-of-state holding LLCs, the $60 minimum applies. Due the first day of the anniversary month of formation.
  • Missing the Annual Report triggers a $50 late fee after 60 days. After 2 years of delinquency, the LLC is revoked (reinstatement costs $100 for tax delinquency or $350 for no registered agent).
  • Some foreign filings (notably Maryland and New York) require a "certified" original certificate rather than the electronic version. Verify with the receiving state before relying on the free electronic certificate.
  • Wyoming does not impose a state income or franchise tax on LLCs, so good standing is strictly about the annual report and registered agent compliance.
