Illinois LLC Penalty for Not Registering

Operating in Illinois without a certificate of authority can trigger a civil penalty under state statute and bar your LLC from Illinois courts. Here's the full cost.

Illinois charges a flat $2,000 penalty plus $100 for each month (or part of a month) you continue operating unregistered after a 60-day grace period. You also owe all back fees and reports that would have been due. The Illinois Attorney General can sue to collect. And you can't bring a civil action in Illinois courts until you register.

Here's how to fix it before any of this catches up to you.

You can file the foreign qualification yourself directly with the Illinois Secretary of State for the standard filing fee. The application looks straightforward, but rejections are common. A wrong form version, a missing certificate of good standing from your home state, or a name conflict with an existing entity will bounce the filing and reset the clock by two to three weeks. Every week you stay unregistered is another week of penalty accrual.
