Hawaii LLC Penalty for Not Registering

Operating in Hawaii without a certificate of authority can bar your LLC from Hawaii courts and create back-fee exposure. Here's the full cost.

No flat fine, but you lose court access until you register

Hawaii doesn't charge a flat civil penalty for unregistered foreign LLCs under HRS s. 428-1008. But you can't maintain any action in Hawaii courts until you obtain a certificate of authority. The Attorney General may bring an action under s. 428-1009 to restrain. Separately, Hawaii's annual report late-filing rules (s. 428-1302) impose up to $100 per 30-day period of delinquency, but this only applies to annual reports - the foreign-registration provision contains no flat fine. Contracts and personal liability are preserved.

Here's how to fix it before any of this catches up to you.

You can file the foreign qualification yourself directly with the Hawaii Secretary of State for the standard filing fee. The application looks straightforward, but rejections are common. A wrong form version, a missing certificate of good standing from your home state, or a name conflict with an existing entity will bounce the filing and reset the clock by two to three weeks. Every week you stay unregistered is another week of penalty accrual.
